Terms of Service

The full agreement between you and Billy. Plain language, every section.

These terms govern your use of Billy. Read them — they cover what we provide, what we don’t, what’s expected of you, and what happens when things go wrong. We’ve kept them as plain as we can.

1. Agreement

By using Billy — visiting billy.rocks, scanning a menu, splitting a bill, joining a shared event through an invitation link, or creating an account — you agree to these Terms of Service (“Terms”). If you don’t agree, please don’t use Billy.

These Terms apply to everyone who uses Billy: anonymous visitors, signed-in account holders, and people joining a shared event from someone else’s invite link. If you’re using Billy on behalf of an organisation, you confirm you have the authority to bind that organisation, and “you” means both you and that organisation.

These Terms work alongside our Privacy Policy, Cookie and Storage Notice, and Content Guidelines. Together they form the full agreement between you and us. If there is any conflict, these Terms control unless the other document says otherwise.

2. What Billy is

Billy is a free web application that helps people read restaurant menus in different languages, understand individual dishes, split restaurant bills by item, settle in mixed currencies, and keep shared events across a trip. Billy is operated by Billy SRL, a Romania-registered entity. It is delivered as a Progressive Web App that runs in any modern browser; there is no separate native mobile or desktop application.

Billy is a tool to help you, not an authoritative source. We explain its limits throughout these Terms — particularly Sections 11 (AI accuracy), 12 (currency conversion), and 13 (no payment processing). Read those carefully.

3. Who can use Billy

You may use Billy if you are at least 16 years old (or the minimum age of digital consent in your country if it is higher). Billy is not designed for or directed at children below that age, and we ask you not to create an account or submit content on behalf of a child below that age.

If you are signing in or creating an account, you confirm the information you provide is accurate and that you have the right to use the email address or third-party sign-in (such as a Google account) you are using. We may refuse, suspend, or terminate access at any time as set out in Section 22.

4. Anonymous use

You can use most of Billy without creating an account. When you use Billy anonymously, your activity is stored on your device (in your browser’s local storage) and, in some cases, temporarily on our servers for the duration of a session or a shared event. Clearing your browser data deletes the local part.

Anonymous use is governed by these Terms even though you haven’t created an account.

5. Accounts

If you choose to create an account, you can sign in with Google or by receiving a magic link at your email address. We do not use passwords. By creating an account you confirm that:

  • You are at least the minimum age stated in Section 3
  • The email address or Google account you used is yours
  • You will keep your sign-in method reasonably secure

You are responsible for activity that happens through your account. If you suspect someone else has accessed it, contact us immediately at contact@billy.rocks.

You can delete your account at any time from settings. We soft-delete your data immediately and permanently erase it after a 30-day grace period. The grace period exists to let you recover from accidental deletion; after it ends, your data cannot be restored. See the Privacy Policy for full details.

6. The service is free

Billy is free to use. We do not charge for menu translation, bill splitting, trips, reviews, or any of the core features. We may introduce optional paid features in the future; those will be clearly described and opt-in.

We reserve the right to limit the volume of free use to prevent abuse — for example, rate-limiting excessive automated scans from a single IP address. We do not currently apply per-user limits to ordinary human use.

7. Acceptable use

You agree not to use Billy to:

  • Upload photographs containing content you don’t have the right to share, including identifiable people who have not consented or third parties’ private documents
  • Submit reviews, notes, or other content that is defamatory, harassing, threatening, hateful, discriminatory, fraudulent, or otherwise unlawful
  • Impersonate another person or misrepresent your identity or affiliation
  • Attempt to access another user’s account, event, bill, or data without their authorisation
  • Reverse-engineer, decompile, disassemble, or extract Billy’s source code beyond what is permitted by applicable law
  • Use automated means (bots, scrapers, crawlers) to interact with Billy without our prior written consent — normal search-engine indexing of public pages is permitted
  • Submit fake reviews, fake transactions, or content intended to manipulate aggregate ratings, prices, or any other data Billy displays
  • Send unsolicited messages, advertising, or links through Billy’s share or invite features
  • Use Billy to violate any law or to facilitate the violation of any third party’s rights
  • Interfere with the operation of Billy, our infrastructure, or other users’ use of the service
  • Use Billy to develop a competing product

If we believe you have violated these rules, we may take any of the actions in Section 22, including suspension or termination of your access without refund.

8. Your content

“Your content” means everything you submit to Billy: photographs of menus and bills, reviews, ratings, item claims, event names, friend display names, payment-method details you add to your profile, business-mode tags, and any other text or media you provide.

8.1 You keep ownership of your content

You retain all rights you have in your content. We do not claim copyright over your reviews or other contributions.

8.2 You grant us a license to operate Billy

To deliver the service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for technical reasons such as resizing or format conversion), display, and distribute your content as needed to:

  • Provide the features you use (such as showing your bill to friends you share with)
  • Process your photographs through our AI partner for menu and bill reading
  • Create anonymized aggregate data (such as aggregate dish ratings) where described in the Privacy Policy
  • Operate, secure, and improve Billy

This license is limited to those purposes. It ends when you delete the content from Billy, except where retention is required by law or the data has already been incorporated into anonymized aggregate datasets where it can no longer be identified as yours.

We do not sell your content. We do not use it for advertising or for training third-party AI models beyond the menu/bill reading step necessary to deliver the service to you.

8.3 Public visibility of your content

You are responsible for what you share. Share Billy links only with people you trust.

  • Shared events and bills — when you share an event or bill link, anyone with that link can see the bill items, claims, totals, and (where applicable) the payment-method details you added to your own profile.
  • Future public aggregate ratings — if we later display aggregate review/rating data publicly, your individual reviews stay anonymized and unidentified by user. Your identity is never attached to public aggregate data without your separate, explicit consent.

8.4 Reviews and ratings

When you rate items or restaurants, your ratings may contribute (anonymized) to aggregate data used to inform other users. By submitting a rating or review, you confirm:

  • The review reflects your honest, first-person experience
  • You have actually visited and eaten at the establishment
  • You are not being paid or incentivized to write it, except where clearly disclosed in the review itself
  • You have no undisclosed conflict of interest with the establishment (such as owning a competing restaurant)

We may remove reviews we reasonably believe violate the Content Guidelines, are factually false, or are submitted in bad faith.

8.5 Feedback and suggestions

If you send us feedback, ideas, or suggestions (via the in-app form, email, or otherwise), you agree we may use that feedback freely and without compensation. You are not entitled to attribution, royalties, or any other consideration for feedback you choose to send us.

9. Content from third parties

Billy displays information from third-party sources, including restaurant names and identifiers from a maps & places provider, currency exchange rates from a public reference source, and translation results produced by an AI provider. This information belongs to those parties or is derived from public data; its accuracy and completeness depend on those sources. We are not the source of truth for any of it.

10. Sharing and collaboration features

Billy lets you invite others to view or contribute to your events and bills via public links, TTL’d reusable invite links, or single-use email invites. You are responsible for who you share links with and for setting the privacy mode appropriately. If you make an event public, anyone with the link can see and contribute to it; you cannot retroactively remove information from someone who already viewed it.

The owner of an event may remove (“kick”) other participants at any time. Removing a participant disconnects them and removes the event from their home screen, but does not retroactively erase information they may have viewed or saved while present.

11. AI accuracy and limitations

Billy uses AI to read menus, translate dishes, identify allergens, suggest pairings, extract items and prices from receipts, and provide an “opinion” on your order. AI makes mistakes — sometimes consequentially. Among other limitations, AI may:

  • Misread, mis-translate, or omit items from a menu or receipt
  • Identify the wrong allergens, miss allergens entirely, or fail to flag items containing ingredients you cannot eat
  • Suggest pairings that are unavailable, mistranslated, or that you don’t actually want
  • Produce confident-sounding text that is factually incorrect

Always verify important numbers and dietary information before relying on them: confirm bill totals and per-item prices before paying; confirm allergens and ingredients with restaurant staff if you have a serious allergy or medical dietary requirement; treat AI-generated descriptions, pairings, and “opinions” as suggestions, not professional advice. We are not liable for losses arising from reliance on AI-generated output (see Sections 15 and 16).

12. Currency conversion

Billy displays currency conversions using a public daily reference rate. These reference rates are illustrative. They do not reflect the rate your bank or card issuer will actually apply, foreign-transaction fees, spread or markups applied by payment networks, or same-day intraday fluctuations. For accounting, tax, or reimbursement purposes, use the rate your bank or payment processor actually charged you, not Billy’s illustrative rate.

13. Billy does not process payments

Billy displays the payment-method details you or your friends voluntarily added to your profiles (PayPal.me, Venmo, Cash App, Revolut, SEPA IBAN, UPI, Pix, etc.). When you “settle up”, Billy may deep-link you into the relevant payment app, but the actual transfer is made by that app, not by Billy. This means:

  • We do not handle, hold, or transfer any money
  • We do not act as a payment institution, e-money institution, money services business, or payment processor in any jurisdiction
  • We are not party to the payment transaction between you and the person you are paying
  • Disputes about whether a payment was sent, received, or refunded are between you and the payment app, not with us
  • We do not store full card numbers, bank account numbers, or other payment credentials beyond the user-friendly handles you choose to display

You are responsible for ensuring the payment-method details you add are accurate. If you misconfigure them and friends pay the wrong person, that is not our liability.

14. Service availability

We do our best to keep Billy running but make no specific uptime promise. Billy may be unavailable due to maintenance, infrastructure changes, third-party outages, or events outside our control. We may temporarily disable specific features (such as AI menu reading) if usage caps are exceeded or a provider becomes unavailable. Billy requires an active internet connection to perform scans; full offline use is not currently supported.

15. Disclaimers

Billy is provided “as is” and “as available.” To the maximum extent permitted by applicable law, Billy SRL disclaims all warranties, conditions, and representations of any kind, express or implied, statutory or otherwise, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, and non-infringement
  • Warranties that Billy will be uninterrupted, timely, secure, or error-free
  • Warranties about the accuracy or reliability of any AI-generated translation, extraction, recommendation, or opinion
  • Warranties about the accuracy of currency rates, restaurant information, or any third-party data shown in Billy
  • Warranties that Billy will meet your specific requirements

Some jurisdictions do not allow exclusion of certain implied warranties. In those, only the warranties that cannot lawfully be excluded apply, and our liability for them is limited to the maximum extent permitted by law.

16. Limitation of liability

To the maximum extent permitted by applicable law:

  • Billy SRL, its officers, directors, employees, contractors, agents, and affiliates are not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including lost profits, lost savings, lost data, loss of goodwill, business interruption, or damages from your inability to use Billy
  • Our total aggregate liability for any claim, regardless of legal theory, is limited to the greater of (a) the total amount you have paid us in the twelve months preceding the claim (zero, for the free service) and (b) one hundred euros (€100)

These limits apply to the maximum extent permitted by law. Where you have non-waivable consumer-protection rights, they are not overridden. Nothing limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited under applicable law.

17. Indemnification

You agree to defend, indemnify, and hold harmless Billy SRL and its officers, directors, employees, contractors, agents, and affiliates from any claim, demand, action, loss, liability, damage, cost, or expense (including reasonable legal fees) arising from your content, your use or misuse of Billy, your violation of these Terms or any referenced policy, your violation of applicable law, or your violation of any third party’s rights.

We may, at our discretion, assume exclusive control of the defence of any matter for which you owe indemnification; you will reasonably cooperate at your own expense. This obligation survives termination.

18. Intellectual property

18.1 Our intellectual property

Billy — including its name, logo, brand identity, copy, design, code, user interface, illustrations, and underlying technology — is owned by Billy SRL and protected by copyright, trademark, trade-dress, and other IP laws. You may not:

  • Use the Billy name, logo, or brand without our prior written consent, except ordinary nominative reference (e.g., “I use Billy”) in editorial or personal contexts
  • Copy, modify, distribute, sell, or lease any part of Billy without our prior written consent
  • Remove or alter any copyright, trademark, or proprietary notices

18.2 Third-party intellectual property

Billy includes content from third parties — restaurant names from a maps & places provider, currency rates from a public reference source, AI translation output from our AI provider. Those parties retain their rights. Your use of Billy does not transfer any rights in third-party content to you beyond what those parties’ own terms permit.

18.3 Copyright claims

If you believe content on Billy infringes your copyright, contact contact@billy.rocks with: a description of the work infringed; a description of the allegedly infringing content and where it is on Billy; your contact information; a statement of good-faith belief that the use is not authorised; and a statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorised to act for them. We respond as required by applicable copyright law.

19. Privacy

Our Privacy Policy describes how we collect, use, and share information when you use Billy. By using Billy, you confirm you have read it. We treat the data-architecture promises in the Privacy Policy as binding commitments — including that uploaded photographs are processed and deleted, that we do not use third-party tracking platforms, and that deleted accounts are permanently erased after the 30-day grace period.

20. Modifications to Billy

We may add, change, or remove features at any time, and may pause, retire, or discontinue specific features or the service as a whole, with or without notice. We will give reasonable advance notice for significant changes that materially reduce functionality available to you, including by posting a notice in the app or emailing signed-in users.

21. Modifications to these Terms

We may update these Terms from time to time and will post the updated version with a new effective date. For material changes — those affecting your rights or obligations, how we process your data, dispute resolution, or otherwise meaningfully changing the agreement — we will notify signed-in users by email, post an in-app notice, and where lawful and practical give at least 14 days’ notice before the change takes effect.

Continued use after a change takes effect means you accept the updated Terms. If you do not accept them, stop using Billy and you may delete your account.

22. Suspension and termination

You may stop using Billy at any time and delete your account from settings (triggering the soft-delete + 30-day grace process). We may suspend, restrict, or terminate your access (whether or not you have an account) if we reasonably believe you have violated these Terms or a referenced policy, your use is harming other users or the service, your activity creates legal/regulatory/security risk, or we are required to by law or a credible legal request.

Where practical and lawful we will notify you before suspending or terminating; where not (e.g., an active security incident or regulatory order) we may act first and notify afterward. On termination, the licence you granted in 8.2 ends (subject to its exceptions), the surviving sections remain in force, and your account data is soft-deleted and erased per the Privacy Policy.

23. Governing law

These Terms are governed by the law of Romania, without regard to its conflict-of-laws principles. The courts of Romania have non-exclusive jurisdiction over disputes. This does not deprive consumers in the EU, UK, or any jurisdiction with mandatory consumer-protection rules of the protections of their country of residence; EU and UK consumers retain the right to bring disputes in their country of residence.

24. Dispute resolution

Before bringing a formal claim, please contact contact@billy.rocks to describe the issue; we will attempt to resolve disputes informally where possible. EU consumers may also use the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. Nothing here prevents either party from seeking urgent injunctive or equitable relief in a competent court where necessary to protect IP or confidential information.

25. Force majeure

We are not liable for failure or delay caused by events outside our reasonable control, including natural disasters, war, civil unrest, government action, third-party infrastructure or supplier failure, denial-of-service attacks, internet or telecommunications failures, pandemic, or similar events.

26. Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign or transfer our rights and obligations to an affiliate or to a successor entity in connection with a merger, acquisition, restructuring, or sale of substantially all of our assets, with reasonable notice to you.

27. Severability

If any provision is found invalid, unlawful, or unenforceable by a competent court, that provision is severable and the remaining provisions remain in full force, modified only to the extent necessary to make the offending provision valid and enforceable.

28. Waiver

Our failure to enforce a provision is not a waiver of it or any other. A waiver is effective only if in writing and signed by an authorised representative of Billy SRL.

29. Entire agreement

These Terms, together with the Privacy Policy, Cookie and Storage Notice, and Content Guidelines, constitute the entire agreement between you and us regarding Billy and supersede any prior agreement, statement, or representation not contained in these documents.

30. Language

These Terms are written in English. If we provide translations, the English version controls in the event of conflict, except where a translated version is required by law and controls under that law.

31. Notices

We may give you notices via the email address on your account (if any), an in-app message, or by posting on billy.rocks. Notices to us must be sent to contact@billy.rocks or by post to Billy SRL at its registered address.
